Data Processing Addendum

This Data Processing Addendum (“DPA”) forms part of the agreement between Zentring, Inc. and the customer and reflects the parties' agreement on the processing of personal data in connection with the services.
1. Roles of the parties
For personal data processed via the services, the customer is the controller (or processor on behalf of its own controllers) and Zentring is the processor (or sub-processor). Each party complies with applicable data protection laws.
2. Scope of processing
Zentring processes personal data only to provide the services and on the customer's documented instructions, including the configuration of agents, calls, and integrations.
3. Sub-processors
The customer authorizes Zentring to engage sub-processors to provide the services. We maintain a current list and provide notice of changes, giving the customer the opportunity to object on reasonable grounds.
4. Security measures
Zentring implements appropriate technical and organizational measures — including encryption, access controls, logging, and monitoring — to protect personal data, as further described in our security documentation.
5. Data subject requests
Taking into account the nature of processing, Zentring assists the customer with appropriate measures to respond to requests from data subjects to exercise their rights.
6. International transfers
Where personal data is transferred across borders, the parties rely on appropriate transfer mechanisms, including the Standard Contractual Clauses, which are incorporated by reference.
7. Breach notification
Zentring notifies the customer without undue delay after becoming aware of a personal data breach affecting the customer's data, and provides information reasonably required to meet notification obligations.
8. Deletion & return
Upon termination, Zentring deletes or returns personal data in accordance with the customer's instructions, except where retention is required by law.
9. Audits
Zentring makes available information necessary to demonstrate compliance and allows for audits, including inspections, in accordance with the terms of the agreement.
